NOG Announces Midland Basin Bolt-on Acquisition

HIGHLIGHTS

  • Bolt-on acquisition of high oil cut, core non-operated working interest properties in the Midland Basin for $110 million

MINNEAPOLIS, August 17, 2022--(BUSINESS WIRE)--Northern Oil and Gas, Inc. (NYSE: NOG) (the "Company" or "NOG") today announced that it has entered into an agreement to acquire properties in the Midland Basin.

MIDLAND BASIN ACQUISITION

NOG has entered into a definitive agreement to acquire non-operated interests in the Midland Basin for a purchase price of $110 million in cash, subject to typical closing adjustments. NOG expects to fund the acquisition with cash on hand, operating free cash flow and borrowings under NOG’s revolving credit facility.

At closing, production on the assets is expected to be greater than 1,600 Boe per day (2-stream, ~87% oil) and NOG expects average production of over 1,800 Boe per day over the next twelve months post-closing (2-stream, ~86% oil). NOG expects less than $5 million of capital expenditures to be incurred post-closing in 2022 and does not anticipate revising 2022 capital expenditure guidance for the acquisition. These high-quality properties have operating costs lower than NOG’s corporate average.

The acquired assets are located in Howard County, Texas and include approximately 1,600 acres, 6.4 net producing wells, 1.6 net wells-in-process and approximately 8 net undeveloped locations. Substantially all of the assets are operated by SM Energy.

The effective date for the transaction is August 1, 2022, and NOG expects to close the transaction in October 2022. The obligations of the parties to complete the transactions contemplated by the purchase agreement are subject to the satisfaction or waiver of customary closing conditions.

As Bond yields come up due to Fed tightening some of the shine has come off dividend stocks like utilities.

Sempra Energy’s SRE subsidiary, Southern California Gas Co. (SoCalGas), recently announced that it has begun construction of a first-of-its-kind advanced hydrogen generation project, in collaboration with STARS Technology Corporation and SunLine Transit Agency, in California. The project, named H2 SilverSTARS in California, will produce hydrogen from renewable natural gas (RNG) to fuel SunLine’s 17 electric buses and support further expansion.

Considering the rapid adoption of hydrogen-fueled electric vehicles in California, with the state’s goal of getting 1.5 million zero-emission vehicles on California roads by 2025, the H2 SilverSTARS project, on completion, should see strong demand for its product.

Utility of the H2 SilverSTARS Project
In recent times, hydrogen-powered fuel cell electric vehicles have been playing a crucial part in promoting clean energy and reducing greenhouse gas emissions in the transportation sector, not only in the state of California but the entire country. The high cost of transporting hydrogen has been a big problem with rolling out fuel cell vehicles.

Now, the establishment of regional, clean hydrogen hubs like SilverSARS will provide an opportunity to aggressively establish thousands of hydrogen filling stations, thereby supporting a significant roll-out of fuel cell vehicles.

Moreover, the STARS technology used in this plant utilizes a combustion-free process so that it produces fewer greenhouse gas emissions compared to a conventional steam methane reforming process.
