I'm not sure where you're getting this was a year long endeavor? The January meetings had nothing to do with taking Tesla private. The timeline and content is there for all to read. No need to channel your inner Elon to revise history.

nope, as can be attested by the statements surrounding the guy, quite a few got caught by surprise. There's no need for a grand conspiracy to exist to manipulate the market. Elon could've been butthurt that day about the number of shorts and tweeted that out to burn them. As to the SEC part, yeah, pretty much.

That's not a very sound statement to hinge violating SEC laws on, or a logical reason for the federal government to look the other way were it true. Elon is not some corporate strategist. He told a number of corporate officers his plans and not one person said it could not be done. The evidence would show he very clearly thought it was happening. Securities manipulation requires willful intent to move shares in a deceitful manner. Everything and everyone he spoke to shows he had a serious intent to do what he tweeted. Doing all of that with no actual intent would be a grand conspiracy and actual manipulation. Doing all of that with a focused intent to actually do all of that would not be manipulation.
even without intention, you can still be found liable to market manipulation if you are in a position to have influence over a stock price and start making misleading claims publicly. Which was what Elton did.
