Ayr Wellness to acquire Garden State Dispensary for $101M

  • Ayr Wellness (OTCQX:AYRWF)entered into a definitive agreementwith GSD NJ, a licensed operator in New Jersey doing business as Garden State Dispensarypost its earlier announced LOI on Dec.22, 2020.
  • Post the agreement, Ayr will purchase 100% of the equity interests of GSD, one of the 12 existing vertical license holders in NJ and one of the state's original six alternative treatment centers for $101M.
  • The consideration includes $41M in cash, $30M in stock and $30M in the form of promissory notes; earnout payments based on exceeding certain target revenue thresholds will be capped at maximum of $96.75M.
  • Including the maximum earnout consideration, the company estimates this represents a forward multiple of approximately 4x 2022 adj. EBITDA.
  • GSD has three open dispensaries, the largest retail footprint of any operator, at heavily trafficked highway locations across the central region of the state and a facility that houses the existing cultivation and production facilities in operation.
  • Transaction expected to close in 3Q21.
