Allied Esports confirms proposal from Bally's to acquire the company for $100M 08:07 AESE, BALY Allied Esports Entertainment (AESE) confirmed that it received an unsolicited proposal from Bally's (BALY) to acquire all of the outstanding equity interests of the company for a total consideration of $100M, payable, at the company's option, in cash, Bally's capital stock, or a combination of both. The Bally's proposal would require the company to terminate its previously announced agreement with Element Partners to sell all of the equity interests of Club Services, or CSI, an indirect wholly-owned subsidiary of the company that directly or indirectly owns the company's poker-related business and assets, including the entities comprising the World Poker Tour for consideration totaling $78.25M. The company's board of directors, consistent with its duties and the company's obligations under its existing agreement with Element, will evaluate Bally's proposal in due course. The company and Element continue to discuss potential updates to the current terms of their agreement. There can be no assurance that the company will enter into a definitive agreement with Bally's or consummate any transaction with Bally's. At this time, the company's board continues to recommend to the company's stockholders the approval of the transaction with Element. The transaction with Element would be expected to close on or about March 30.

NGM Biopharmaceuticals price target raised to $44 from $39 at Chardan 08:06 NGM Chardan analyst Michael Morabito raised the firm's price target on NGM Biopharmaceuticals to $44 from $39 and keeps a Buy rating on the shares post the 2020 results. NGM's most advanced program by far is the Phase IIb ALPINE 2/3 trial of aldafermin in nonalcoholic steatohepatitis, Morabito tells investors in a research note. The analyst believes the last patient visit likely occurred last month and expects top-line data to be released in Q2. He sees "substantial upside" following the announcement.

Stifel upgrades Bally's to Buy after 'overplayed' post-earnings dip 06:55 BALY As previously reported, Stifel analyst Steven Wieczynski upgraded Bally's to Buy from Hold with a price target of $70, up from $60. Given the adjusted EBITDA miss in Q4, along with potential investor disappointment around the timing of Bally's "highly anticipated" online sports betting app launch being pushed back to the second half, the shares have sold off, but Wieczynski thinks the "initial share reaction feels overplayed," he tells investors. He sees the current valuation giving investors "an attractive opportunity to acquire a compelling long-term omnichannel growth strategy" at Bally's at "a fraction of the valuation" priced into peers, Wieczynski tells investors.
