    Don't know for sure, but probably no. Tax rules were changed a few years ago to limit "itemized deductions" to the point that it's just easier to take the "standard deduction". I suppose some find a way around that, but I suspect they are few in number/percentage.

What if the shares had tanked after exercise... would she still be entitled to compensation simply because...

    No, they didn't "swindle" her out of anything. She got the money from having her shares called, and she could have bought them back immediately if she wanted. Correct on this point.
